Terms of Service
These Terms of Service (“Terms”) are a legally binding agreement between NBALL TECHNOLOGIES INDIA PRIVATE LIMITED (“Cynaps”, “we”, “us”), a private company incorporated under the Companies Act, 2013, having its registered office at 2-4-821/1, 19/7, Road No. 1, New Nagole, Alkapuri, Saroornagar, Hyderabad – 500035, Telangana, India (CIN: U62099TS2025PTC196111), and you, the user (“User”, “you”) accessing or using the Cynaps platform, mobile applications, APIs, and related services (collectively, the “Service”).
By creating an account, logging in, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, you must not use the Service.
1.Eligibility and User Verification
The Service is intended exclusively for use by licensed medical professionals practising within India. By registering, you represent and warrant that:
- You are at least 18 years of age and have legal capacity to contract under the Indian Contract Act, 1872.
- You hold a valid medical qualification recognised by the National Medical Commission (NMC) and a current registration with a State Medical Council in India.
- Where applicable, you possess a Healthcare Professional Registry (HPR) ID and consent to its verification.
- Your access to and use of the Service does not violate any contractual or fiduciary obligation owed to a hospital, employer, or patient.
Cynaps reserves the right to verify your credentials, suspend access pending verification, and terminate accounts where verification fails or where false information has been provided.
2.Description of the Service
Cynaps provides AI-assisted clinical decision support tools — including but not limited to differential generation, bedside score calculation, visit summarisation, discharge protocol synthesis, and literature retrieval — designed to augment, and not replace, professional medical judgment.
The Service is offered “as a service” over the Internet. We may add, modify, or remove features at any time. Material changes affecting paid plans will be notified to subscribers with at least 30 days' advance notice.
3.Medical Disclaimer
Cynaps is not a medical device, is not a substitute for clinical judgment, and does not establish a doctor-patient relationship between Cynaps and any patient.
All clinical content, suggestions, calculations, references, and AI-generated outputs are provided for informational support only. The final responsibility for diagnosis, prescription, dosing, procedure choice, and patient management rests solely with the registered medical practitioner. Cynaps shall not be liable for any clinical outcome, adverse event, malpractice claim, or damage arising from the use of, or reliance upon, the Service.
You must comply with NMC's telemedicine practice guidelines, your State Medical Council's code of conduct, and all applicable laws when using the Service in your clinical workflow.
Certificates and signed documents. Where the Service helps you produce a medical certificate or a similar document, the certification is yours. You warrant that the facts you enter are accurate, that the consultation took place as you have stated it, and that any patient or guardian signature you capture was given freely by that person in your presence. The Service records what you tell it; it does not verify the patient's identity, witness the signature, or confirm that an examination occurred.
Because the Medical Council requires your registration number to appear on the documents you give a patient, the Service will not issue a medical certificate or a referral letter until you have recorded both that number and the council that issued it in your profile — a number is not identifiable without its council. You can still write, edit and save a draft; it is issuing, downloading and sending that are held.
A clinic letterhead is optional. Where you have set one up it is printed; where you have not, the document carries your name, your specialty or qualifications, and your registration in its place. Its absence does not make the document provisional and it is not marked in any way — a referral or certificate from a practitioner who works without clinic stationery is a complete document.
The public verification page attests provenance only — that a document was issued by your practice and has not been altered since. It is not a statement by Cynaps about the clinical opinion in it, and must not be represented as one.
4.Account Registration and Security
You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for safeguarding your credentials and for all activity occurring under your account. Notify us immediately at support@cynaps.co of any unauthorised use.
Each Cynaps account is personal and non-transferable. Sharing credentials with colleagues or institutional staff is prohibited and is a material breach of these Terms.
5.Subscriptions, Billing, and Auto-Renewal
Paid plans (currently “Pro” at ₹999/month and “Max” at ₹1999/month, inclusive of applicable taxes unless stated otherwise) are billed monthly in advance through our payment processor, Razorpay Software Private Limited .
- By subscribing, you authorise Cynaps and Razorpay to debit the registered payment instrument on each renewal date in accordance with the RBI's eMandate framework.
- Renewals occur automatically until you cancel. We will attempt the charge up to three (3) times on consecutive days; if all attempts fail, your subscription will be downgraded to the free Basic plan without penalty.
- All charges are in Indian Rupees (INR). Not currently registered for GST (turnover below the ₹20 lakh service-provider threshold); no GST is collected on subscription fees at this time. We will register for GST and revise pricing if and when statutory turnover thresholds are crossed, with at least 30 days' advance notice.
- Invoices / receipts are issued electronically to the registered email address within 7 days of each successful charge.
- You may upgrade or downgrade your plan at any time. Plan changes take effect from the next billing cycle; mid-cycle proration is not offered unless explicitly stated.
- Prices are reviewable; any price change for an existing subscriber will be communicated at least 30 days before it takes effect.
6.Cancellation, Refunds, and Termination
You may cancel your subscription at any time from your account settings or by contacting support@cynaps.co. Cancellation takes effect at the end of the current paid billing cycle; you retain access until that date.
Refund eligibility, processing timelines, and the dispute process are described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
We may suspend or terminate your account, with or without notice, for any breach of these Terms, suspected fraudulent activity, prolonged inactivity, repeated failed payments, or where required by law or regulator. Sections 3 (Medical Disclaimer), 7 (Acceptable Use), 9 (Intellectual Property), 12 (Data and Privacy), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Dispute Resolution) survive termination.
7.Acceptable Use
You agree not to:
- Use the Service to provide care, advice, or treatment in a manner contrary to NMC guidelines or applicable Indian law.
- Upload patient data without lawful basis or, where applicable, the patient's informed consent.
- Reverse-engineer, decompile, scrape, or otherwise extract the underlying models, prompts, embeddings, or training data.
- Use the Service to develop a competing product or train a third-party AI model.
- Circumvent rate limits, usage gates, or access controls.
- Use the Service for any unlawful purpose, including transmission of content that is obscene, defamatory, infringing, or otherwise prohibited under the Information Technology Act, 2000.
8.User Content and Patient Data
You retain ownership of all clinical notes, attachments, transcripts, and other content you provide to the Service (“User Content”). You grant Cynaps a limited, non-exclusive, royalty-free licence to process User Content solely to operate the Service for you.
Cynaps does not use your User Content to train or fine-tune foundational models. You are responsible for ensuring that any patient information you upload is handled in compliance with the Digital Personal Data Protection Act, 2023 and that you have, where required, obtained the patient's consent.
9.Intellectual Property
All right, title, and interest in the Service — including the platform code, UI, prompts, AI models, trademarks, and documentation — are and remain the sole property of Cynaps. No licence is granted to you except the limited right to access and use the Service in accordance with these Terms.
10.Third-Party Services and Links
The Service integrates with or links to third-party tools (such as Razorpay for payments, e-mail providers, and cloud infrastructure). Your use of those tools is governed by their own terms; we are not responsible for them.
11.Service Availability and Modifications
We aim for high availability but do not guarantee uninterrupted operation. Planned maintenance, security incidents, regulatory action, or force majeure may temporarily restrict access. We are not liable for losses arising from such interruptions.
12.Data Protection and Privacy
Our collection and processing of personal data are governed by our Privacy Policy and the Digital Personal Data Protection Act, 2023. Where you upload patient information, you act as the Data Fiduciary and Cynaps acts as the Data Processor on your behalf.
13.Limitation of Liability
To the maximum extent permitted by law, in no event shall Cynaps, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or opportunity, arising out of or in connection with the Service.
Cynaps' total aggregate liability arising out of or in connection with these Terms shall not exceed the total amount paid by you to Cynaps in the twelve (12) months immediately preceding the event giving rise to the claim, or ₹10,000 (Rupees Ten Thousand only), whichever is higher.
14.Indemnification
You agree to indemnify and hold Cynaps harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) any patient or third-party claim arising from your professional acts or omissions, including in your use of AI-generated content.
15.Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be addressed by good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- Seat and venue: Hyderabad, Telangana, India.
- Language: English.
- Sole arbitrator appointed by mutual agreement; failing which, in accordance with the Act.
- The award shall be final and binding.
16.Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to Section 15, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.
17.Changes to These Terms
We may amend these Terms from time to time. Material changes will be notified by email and/or in-product banner at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and Section 8(10) of the DPDP Act, 2023, our designated Grievance Officer is the Authorised Signatory of NBALL Technologies India Private Limited, contactable at grievance@cynaps.co. Grievances are acknowledged within 24 hours and resolved within 15 days of receipt.
